Good question. In 2003, we incorporated Iridesco in the state of New Jersey (as an S-Corp). In 2005, we moved our business into New York City and soon discovered that it’d be much wiser to be an LLC for tax purposes (New York, for example, does not recognize S-Corporations in Manhattan).
